Terms of Service
Last updated: October 20, 2026. These Terms of Service (“Terms”) govern your use of Mudaala (“we,” “us,” or “our”), a payment collection and tracking platform for businesses in Uganda.
1. Acceptance of Terms
By accessing or using Mudaala, including creating a stall, listing offerings, or making a payment, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the platform.
2. Description of Service
Mudaala gives each vendor one public stall at /vendorSlug with business details, an optional banner, and a catalog of up to ten active offerings. Customers select an offering, confirm checkout, choose a payment method, and receive invoices and receipts by email and WhatsApp. Guest checkout is supported, and optional customer accounts show payment history across vendors.
3. Vendor Accounts and Stalls
Vendors register with business information and a unique slug. One stall and one owner per vendor. Vendors are responsible for the accuracy of their business details, offerings, and prices (in UGX), and for fulfilling whatever they sell. Mudaala does not review or endorse individual stalls.
4. Payments and Funds Flow
Customer payments are initiated through the vendor’s own connected payment provider account and are paid directly to the vendor under the provider’s approved arrangement. Supported methods include Pesapal card, MTN Mobile Money, Airtel Money (after provider confirmation), and vendor-collected Cash.
Mudaala’s role is limited to initiating payment requests, verifying results, recording transactions, and delivering documents. Mudaala does not:
- operate a customer-funds wallet;
- operate a pooled account for vendor sales;
- hold escrow;
- maintain vendor balances representing money held by Mudaala;
- run vendor payouts or collect-then-disburse workflows; or
- deduct platform fees from vendor sales.
A merchant code alone is not proof of ownership or API authorisation. Vendors connect their own merchant accounts using the provider-approved authorisation mechanism.
5. Subscription Fees and Billing
Vendors pay Mudaala a monthly platform subscription, billed separately through Mudaala’s own merchant connection. All amounts are in Ugandan shillings (UGX, integer units). Plan changes take effect immediately; the new price is charged at the next renewal. A plan change never reactivates a lapsed subscription.
6. Customer Conduct and Acceptable Use
You must not use Mudaala for anything unlawful, fraudulent, or deceptive, including misrepresenting your business, offering prohibited goods or services, or attempting to reverse-engineer payment flows. Mobile Money PINs must never be entered into Mudaala or shared with anyone claiming to represent Mudaala.
7. Intellectual Property
Mudaala and its logos, wordmarks, and platform materials are owned by Mudaala or its licensors. Vendors own their stall content, business details, and offering listings. By posting content to your stall you grant Mudaala a licence to host, display, and deliver it as part of the service.
8. Disclaimers and Limitation of Liability
Mudaala is provided on an “as is” basis. We do not guarantee that payments will always succeed, that provider networks will be available, or that a stall will generate any particular revenue. To the extent permitted by law, Mudaala is not liable for indirect, incidental, or consequential damages arising from use of the platform, including failed or delayed payments.
9. Termination
We may suspend or terminate a stall or account that violates these Terms, is used fraudulently, or has an unresolved past-due subscription. Vendors may stop using Mudaala at any time. Termination does not affect payments already initiated or amounts owed.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of Uganda. Disputes will first be addressed through direct contact with Mudaala support and, if unresolved, may be referred to the appropriate courts in Uganda.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through your stall dashboard or by email. Continued use after changes take effect constitutes acceptance.
12. Contact Information
